The Non-Governmental Educational Establishment "Central Institute for Continuing Education and Training" is a leading educational center for training and professional development of managers and specialists of ROSATOM organizations. The mission of the NGEE "CICET" is to raise professionalism and competency of nuclear workers to ensure safe sustainable development of the nuclear industry and competitiveness on the world market of nuclear technologies.
The European Nuclear Education Network Association (hereinafter referred to as "ENEN") is a non profit international organisation under French Law of 1901, aiming at the preservation and further development of higher nuclear education and expertise.
In light of the above, the NGEE "CICET" and the ENEN agreed to enhance their bilateral cooperation in the field of research, education and training in nuclear science and technology.
Accordingly, the NGEE "CICET" on the one part, and the ENEN, on the other part, Hereinafter referred to individually as "the Party" or collectively as "the Parties", Have arrived at the following understanding:
Article 1
Objective
Objective
1.1 The objective of this Memorandum of Understanding ("MoU") is to foster cooperation between the Parties in the field of research, education and training in nuclear science and technology ("the Field").
1.2 The Parties shall endeavour to achieve the aims of the cooperation, which inter alia includes:
1) to promote and provide mutual assistance to the Parties' activities in the Field;
2) to help in protecting from diminishing capacities in teaching and to preserve
knowledge retention in the Field;
3) to establish trans-national cooperation among universities and institutions in the
Field, so as to achieve the high quality education and training in the Field up to
the international standard; and
4) to provide the nuclear community with highly educated and experienced experts
as appropriate.

Areas of Cooperation

2.1 The Parties agree to develop a mutually beneficial relationship in the Field, which inter alia includes:
1) to enable to obtain credits by taking the Parties' courses and seminars,
2) to make available some materials for NGEE "CICET" and ENEN courses and
seminars as appropriate (Exchange of materials);
3) to make available some courses and seminars of NGEE "CICET" and ENEN
members, in case being offered by means of distance education, in a reciprocal
arrangement (Distance education);
4) to enable lecturers of ENEN members to teach courses and seminars at the
NGEE "CICET" with the assistance of a local lecturer or coordinator and vice
versa (Exchange of lecturers); and
2.2 The rule and procedure of the credit transfer shall be discussed and decided by the Parties as appropriate.

Modalities of Cooperation
Modalities of Cooperation
3.1 The modalities of co-operation may be the following:
1) to identify specific fields of common interest;
2) to establish a platform to promote, discuss and co-ordinate activities and the
results thereof;
3) to organize joint meetings, symposia, workshops, summer schools andlor
internships;
4) to support trainees for their research;
5) to advertise the Parties' activities to each members and partners; and
6) to exchange information and materials.
3.2 In the event the Parties agree, under this MoU, to implement a joint project, they shall, prior to starting the project, conclude a written collaboration agreement, on a case-by-case basis, on how to carry out the project. The collaboration agreements shall cover the relevant legal aspects, including the responsibilities of each Party and intellectual property rights, and the financial aspects as well as the technical aspects, as appropriate.

4.1 The NGEE "CICET" shall not be an ENEN member, but shall be deemed to be an ENEN Associated Member, as defined in the ENEN Statutes, as far as the implementation of this MoU is concerned. The NGEE "CICET' has the same rights, except the voting right, and obligations, including the payment of membership fee (contributions by the members), as ENEN Associated Members.
4.2 The ENEN may become a coordinator or member of NGEE "CICET" education and training activities to facilitate an ENEN contribution to the global educational purposes and activities of NGEE "CICET".

5.1 The Parties may hold an annual meeting to present their activities in the Field and to discuss and approve the annual action plan which set out the specific cooperation activities to be carried out each year.

Funding

6.1 Each Party shall bear the cost of its own activities under this MoU.
6.2 This MoU, with exception of Article 4, contemplates no transfer of funds between the Parties.
6.3 The implementation of each activity under this MoU shall be subject to the availability of the required hnds of the Parties.

Confidentiality
Confidentiality
7.1 All information, whether in oral, written or electronic format, provided by the Parties under this MoU shall be used solely for the purposes outlined above.
7.2 If either Party wishes to use the information provided by the other Party under this MoU for any purpose other than those outlined above, the requesting Party shall make a written request to the other Party describing the additional purposes for which it seeks to use the information. Hthe Party receiving this request determines that the request to use the information provided hereunder is acceptable, it shall provide that requesting Party with written approval of the additional use of the information.
7.3 Confidentiality of all information exchanged in terms of implementation of this MoU shall be maintained for a period of five (5) years after the termination of the MoU.

8.1 This MoU will enter into force on the day following the date of the signature by the last Party.

Termination
9.1 This MoU is concluded for duration of five (5) years, with the aim of being renewed, subject to the Parties' mutual agreement. The renewal shall be done only by a written agreement signed by the duly authorised representative of each Party.
9.2 This MoU may be amended at any time by mutual agreement of the Parties. The amendment shall be done only by a written agreement signed by the duly authorised representative of each Party.
9.3 Either Party may terminate this MoU at any time by providing at least two (2) months' written notice to the other Party.
9.4 In the event the MoU is terminated, each Party shall be solely responsible for the payment of any expenses it has incurred.

10.1 All correspondence concerning the implementation of this MoU shall be sent in two copies to the following addresses.
For NGEE "CICET", Central Institute for Continuing Education & Training, 21 - Kurchatova-strttn, Obninsk, Kaluga-region, Russian Federation - to the attention of Prof. Vladimir V. Artisyuk, Vice-rector (Science and foreign affairs).
For ENEN, European Nuclear Education Network Association, Centre CEA de Saclay, INSTN Batiment 395, F-91191 Gif-sur-Yvette Cedex, France - to the attention of Ryoko Kusumi.
